1. Acceptance and eligibility

5. Prohibited activities
You must not misuse the Site. Prohibited activities include, without limitation:
- Attempting to gain unauthorised access to the Site, servers, or related systems.

- Reverse engineering, decompiling, or attempting to extract source code or underlying ideas from the Site except where permitted by law.

Where Australian Consumer Law or other mandatory laws apply, nothing in these Terms excludes any non-excludable rights, guarantees, or remedies.
7. Limitation of liability
To the maximum extent permitted by law, Apextril and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, Apextril’s total liability for direct damages arising out of or related to the Site, these Terms, or any optional services will not exceed the amount you paid to Apextril for the relevant optional service in the 12 months before the event giving rise to the claim, or AUD 160, whichever is lower.
This limitation applies on any legal theory (contract, tort, negligence, strict liability, or otherwise), except where liability cannot be limited under Australian Consumer Law or other mandatory law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Apextril Pty Ltd and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Site in violation of these Terms;
- Your breach of any law or regulation;
- Your infringement of any intellectual property or other rights of any person or entity;
- Any content or information you submit through the Site.
We may assume the exclusive defence and control of any matter subject to indemnification, and you agree to cooperate with our defence.
9. Third-party links
The Site may reference third-party products, platforms, or sources as part of educational discussion. The Site may also include links to third-party websites. Those third-party sites are not controlled by Apextril, and we are not responsible for their content, availability, or practices.
Inclusion of a third-party reference does not imply endorsement. If you choose to access a third-party site, you do so at your own risk and subject to that third party’s terms and policies.

Our Privacy Policy explains how we collect, use, store, and share personal information, including details submitted through forms and information collected via cookies and analytics preferences. The Privacy Policy is incorporated into these Terms by reference.
By using the Site and submitting information, you consent to our handling of personal information as described in the Privacy Policy. If you do not agree, please do not submit information through the Site.
11. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia, and applicable Commonwealth laws of Australia, without regard to conflict of law principles.
Subject to the dispute resolution clause below, you agree to submit to the exclusive jurisdiction of the courts located in Sydney, New South Wales, Australia for any dispute arising out of or relating to these Terms or the Site.
12. Dispute resolution
Before commencing legal proceedings, you agree to first contact us and attempt to resolve the dispute informally. You must send your notice of dispute to [email protected] with a brief description of the issue and the outcome you are seeking.
We will make reasonable efforts to respond and work toward resolution within 30 days of receiving your notice. If the dispute is not resolved within 30 days, either party may commence proceedings in accordance with the governing law and jurisdiction clause.
Nothing in this clause prevents either party from seeking urgent injunctive relief where appropriate.
13. Termination
We may suspend or terminate your access to the Site (or any optional services) at any time if we reasonably believe you have violated these Terms, if required by law, or to protect the security and integrity of the Site. Termination may occur with or without notice depending on the circumstances.
If the Site supports accounts or subscriptions in the future, you may stop using the Site at any time. If you have submitted a registration request, you may also ask us to delete or correct your information as described in the Privacy Policy.
The following sections survive termination: Intellectual Property, Prohibited Activities, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provisions that by their nature should survive.
14. Modifications to the Site or these Terms
We may update the Site and these Terms to reflect changes in features, legal requirements, or business practices. If we make material changes, we will post the updated Terms on this page and update the “Last Updated” date.
